16. GOVERNING LAW AND JURISDICTION

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Emirate of Dubai, without regard to conflict of laws provisions.

16.2 Jurisdiction

Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, U.A.E.

16.3 Consent

Both parties irrevocably consent to Dubai courts and waive objections to venue or inconvenient forum.

17. DISPUTE RESOLUTION

17.1 Negotiation

The parties shall attempt to resolve disputes through good-faith negotiation within 30 days of notice.

17.2 Mediation

If unresolved, disputes may be submitted to mediation under Dubai International Arbitration Centre (DIAC) rules at either party's request.

17.3 Arbitration

If mediation fails, disputes shall be settled by DIAC arbitration under its Arbitration Rules with:

One arbitrator (disputes <$100K)
Three arbitrators (disputes >$100K)
Proceedings in English
Costs borne by losing party

17.4

Arbitration is final and binding.

18. SEVERABILITY

If any provision is found invalid, illegal, or unenforceable, it shall be modified to the minimum extent necessary to be enforceable, and all other provisions remain in full effect.

19. WAIVER

Failure or delay in enforcing any provision does not waive that provision or any other right. Single waiver does not constitute waiver of subsequent breaches.

20. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and User Agreement, constitute the entire agreement between you and Spend-X regarding the Website and Services. All prior understandings and agreements are superseded.
